End User License Agreement

The terms on which a named user may use software Atrium Service Group, LLC builds and operates.

1. What this covers

This agreement is between Atrium Service Group, LLC ("Atrium") and you, the individual using an application Atrium has built and operates for the organization that authorized your access ("the Software"). Your organization's own agreement with Atrium governs the engagement; this agreement governs your use of the Software. If you do not agree to it, do not use the Software.

2. The license

Atrium grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Software for your organization's internal business purposes, for as long as your organization's engagement with Atrium continues and your access has not been withdrawn. No other rights are granted.

3. What you may not do

  • Share your credentials, or let anyone else use your account.
  • Copy, sell, rent, sublicense or otherwise make the Software available to anyone outside your organization.
  • Reverse-engineer, decompile or attempt to derive the source code, except where that right cannot be excluded by law.
  • Remove or obscure any notice of ownership.
  • Use the Software to break the law, infringe anyone's rights, gain unauthorized access, interfere with the service, or upload malicious code.
  • Use the Software, or data taken out of it, to build a competing product.
  • Extract data in bulk other than through the export features the Software provides.

4. Who owns what

Your organization's data is your organization's. Atrium claims no ownership of it, does not sell it, and does not use it to train machine-learning models. Atrium owns the Software itself — its code, design and the methods behind it — and nothing here transfers that.

5. Your account

  • You are responsible for everything done under your credentials.
  • Turn on multi-factor authentication where the Software offers it.
  • Tell your organization's administrator, and Atrium, promptly if you believe your account has been used by someone else.
  • Your administrator can add or remove users at any time, including you.

6. Connected services

The Software may connect to services your organization already uses, such as QuickBooks Online or Microsoft 365. Those connections are made only with your organization's authorization, are limited to the access the Software needs to do its job, and can be disconnected at any time from within the Software or from within the third-party service. Disconnection stops further retrieval immediately. What Atrium collects through a connection, and how long it is kept, is set out in the Privacy Policy.

7. Professional judgment

The Software does not make decisions for you. Atrium is not a certified public accounting firm, not a law firm, and not a general contractor. The Software does not practice before the IRS and does not give tax, legal, accounting or investment advice. Dates, statuses and figures it displays are drawn from the systems your organization connected to it, and a qualified person must review any output before it is relied on or filed.

8. Availability, support and changes

Atrium may update, improve or retire features. Where a change materially reduces function your organization relies on, Atrium will say so first. Support is provided to your organization under its engagement agreement, not to individual users directly. Access may be suspended without notice to stop harm in progress.

9. No warranty

The Software is provided on an as-is basis to the fullest extent permitted by law. Atrium does not warrant that it will be uninterrupted or error-free, or that it will meet any particular requirement not written into your organization's engagement agreement.

10. Limitation of liability

To the fullest extent permitted by law, Atrium's total liability arising out of or relating to the Software is limited to the fees your organization paid for the engagement giving rise to the claim. Atrium is not liable for indirect, incidental or consequential damages, including lost profits or lost data. Nothing here limits liability that cannot be limited by law.

11. Term and what happens to the data

This agreement runs for as long as you have access. Your access ends when your organization removes it, when the engagement ends, or if you breach this agreement. When the engagement ends, your organization's data is returned or deleted on request; Atrium removes its own administrative access. See the Privacy Policy for retention periods.

12. Governing law

This agreement is governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Venue is Wake County, North Carolina.

13. Changes and contact
